Terms of Service

1. Agreement Overview

These Terms of Service ("Agreement") constitute a legally binding agreement between you ("Customer", "Client", or "you") and Nesvra LLC ("Nesvra", "Company", "we", or "us"). By purchasing a software license, subscribing to an engineering team, accessing our infrastructure APIs, or using our website, you agree to be bound by these terms.

2. Software Licenses & Intellectual Property

• Perpetual Commercial License: Upon payment of a platform license fee, Nesvra grants you a perpetual, worldwide, irrevocable commercial license to run, modify, customize, and self-host the software.
• Source Code Delivery: You receive access to the clean, documented source code repositories, database schemas, and CI/CD deployment scripts.
• Resale Restrictions: You may not resell, sub-license, or redistribute the uncompiled source code template as a competing software library or code marketplace asset.

3. Tech Team for Hire Subscriptions

Clients engaging Nesvra's dedicated engineering squads ("Tech Team") are provided with full-stack developers, UI/UX designers, and project managers under a predictable monthly subscription model:

• Dedicated Resource Allocation: Engineers work exclusively on your sprint backlog and product roadmap.
• Immediate IP Transfer: All custom code, design tokens, algorithms, and architectures created during your subscription belong 100% to you from day one.
• Flexible Scaling: Subscriptions can be paused, upgraded, or cancelled with a 14-day notice prior to the upcoming billing cycle.

4. Payments, Crypto Checkout & Refunds

Nesvra accepts both traditional bank wire and major cryptocurrency payments (USDT, USDC, BTC, ETH):

• Crypto Transactions: Crypto payments are verified on-chain. The client is responsible for sending funds on the correct specified network (e.g. TRC20, ERC20, Polygon).
• License Delivery: Repository access and onboarding sessions are provisioned within 1 to 24 hours of on-chain confirmation.
• Refund Policy: Due to the immediate delivery of proprietary source code assets, software licenses are non-refundable once repository access has been granted. Tech Team subscriptions may be cancelled prior to the commencement of a new billing sprint.

5. Warranties & Limitation of Liability

Nesvra warrants that all software is delivered free of critical vulnerabilities and operates in material accordance with its documentation. Nesvra's total aggregate liability under any claim arising from this Agreement is limited to the fees paid by the client in the preceding 3-month period.
